Terms of Service

These Terms of Service ("Terms") govern your use of the website at www.jerdurfe.shop (the "Site") operated by JER DURFEE CONSULTING LLC ("Jer Durfee," "we," "us"), a Utah limited liability company at 108 E Windlass Rd, Saratoga Springs, UT 84045. By browsing the Site or submitting an inquiry, you accept these Terms. If you do not agree, do not use the Site.

1. What This Site Is

The Site is an informational catalog for a consulting practice: it describes our drawers, practices, method and how to reach the reference desk. It is not a client portal, an engagement platform or a marketplace. Nothing on the Site constitutes an offer to perform consulting services; proposals and engagements are issued only in writing after an inquiry is evaluated.

2. No Engagement by Browsing

Viewing a card, filing a request card, or exchanging messages with the desk opens an inquiry — not a consulting engagement, retainer or consultant-client relationship. A binding engagement arises only when both parties execute a written scope letter covering the question, deliverable, fees and boundaries. We may decline any inquiry at our discretion, including where a practice is outside our scope or a conflict exists.

3. Informational Content Only

Descriptions of practices, methods and engagements are general information, not management, legal, tax, actuarial, financial or professional advice for your situation. Consulting conclusions depend on facts; decisions about your organization should be made on scoped work performed for you, not on catalog descriptions.

4. Licensed Boundaries — Read This Carefully

  • Actuarial: our actuarial consulting expressly excludes insurance actuarial services; opinions for rate filings or reserves belong to credentialed actuaries.
  • Financial management: we advise on financial management, not investment advice; securities decisions belong to licensed advisers.
  • Customs & tariff: consulting informs; customs entries and filings belong to licensed customs brokers where the law requires.
  • Nuclear energy: we consult on management and planning; license conditions, safety determinations and regulatory filings belong to licensees and their counsel.
  • Veterinary: we consult on practice and operations; animal diagnosis and treatment belong to licensed veterinarians.
  • General rule: where any practice crosses a licensed line, we identify the boundary in the scope letter and the client retains the appropriate credentialed professional.

5. Confidentiality & Privilege

Information you send before an engagement is not privileged or confidential under any consulting relationship — no such relationship exists until a scope letter is signed. Do not send trade secrets, privileged communications or regulated data through the general inquiry form. Once engaged, confidentiality is governed by the scope letter and the privacy policy, not by anything implied by this Site.

6. Acceptable Use

You agree not to: scrape or bulk-harvest the Site's content; probe, scan or attack the Site or its hosting; submit false, misleading or unlawful inquiries; misrepresent your identity, authority or the licensed context of a request; or use the Site in any way that violates applicable law. We may block access and report unlawful conduct.

7. Intellectual Property

The Site's text, layout, illustrations (including the card-catalog cabinet and catalog-card artwork), branding and the "Card Catalog" design system are the property of JER DURFEE CONSULTING LLC or its developer and are protected by copyright and other laws. You may view and share links to the Site; you may not reproduce, republish or adapt its content or artwork without written permission.

8. Third-Party Links & Services

The Site may link to third-party sites or rely on third-party infrastructure (hosting, fonts). We do not control and are not responsible for third-party content, policies or availability. Following a link is at your own discretion.

9. Disclaimers

The Site is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components, or that any practice or engagement will be available as described.

10. Limitation of Liability

To the maximum extent permitted by law, JER DURFEE CONSULTING LLC and its members, managers, employees and developer are not liable for indirect, incidental, consequential, special or punitive damages — including lost profits, lost opportunities or business interruption — arising from or related to use of the Site or reliance on its content. Our total aggregate liability for claims arising from the Site shall not exceed one hundred U.S. dollars (US$100). Nothing in this section limits liability that cannot be limited by law.

11. Indemnification

You agree to defend, indemnify and hold harmless JER DURFEE CONSULTING LLC from claims, losses and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Site, or your breach of applicable law — including misrepresentation of licensed context in an inquiry.

12. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules, and by applicable U.S. federal law. Profession-specific licensing rules apply as written, and nothing here overrides them.

13. Disputes

Any dispute arising from the Site or these Terms shall be brought exclusively in the state or federal courts located in or covering Utah County, Utah, and you consent to their jurisdiction. Before filing, the parties will attempt good-faith resolution through the reference desk for at least thirty days. Any claim must be brought within one year after it accrues or is barred.

14. Severability, Waiver & Changes

If a provision of these Terms is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. We may update these Terms; the current version is posted here and material changes take effect on posting unless stated otherwise.
